Nidec Control Techniques Limited (the “Company”) – Slavery and Human Trafficking Statement for the period beginning on 1 April 2025 and ending on 31 March 2026 (“FY2025”)

The Company is committed to ensuring that Slavery and Human Trafficking have no place in our business or supply chain. In FY2025 we continued to comply with Section 54 of the UK Modern Slavery Act 2015. This Statement outlines the steps the Company has taken during FY2025 to help prevent modern slavery within its operations and supply chains.

We are committed to conducting business ethically, responsibly and with respect for human rights. We recognise that modern slavery, forced labour, human trafficking and other forms of exploitation remain significant global challenges that can affect supply chains across many industries and regions. We are committed to preventing these practices within our own operations and throughout our supply chain.

As part of our Environmental, Social and Governance (ESG) programme, the Company aims to strengthen its approach to responsible sourcing, supply chain engagement and human rights due diligence. We are committed to continuous improvement in sustainability and human rights and are preparing a more comprehensive modern slavery statement for FY2026.

Company Business and Supply Chain

The company is a leading manufacturer of variable speed drives and industrial automation technologies, serving customers across a wide range of sectors globally. Our manufacturing operations are primarily based in the United Kingdom, supported by a network of suppliers that provide manufacturing components, raw materials, and logistics services, among others.

Given the global context of manufacturing supply chains, we recognise that risks relating to forced labour, human trafficking and other labour rights issues may exist within certain sectors, geographies and tiers of the supply chain. We therefore continue to enhance our understanding of supply chain risks and strengthen our due diligence activities.

We recognise our role to promote (i) a robust supply chain and (ii) supplier development and awareness through our Supplier Code of Conduct and the Nidec Group Supply Chain CSR Guidebook (collectively, the “Code”). The Code clearly communicates the Company’s expectations with regards to third parties that the Company works with in the supply chain domain (“Suppliers”).

Suppliers have a responsibility to adhere to the Code and to promote human rights within their own supply chains. Within FY2025, the Company has continued to take measures to ensure that all new Suppliers have received the Code and that they understand and commit to compliance with the principles of the Code. Our supplier code of conduct is available online.

The Company makes it a part of its fundamental policy to comply with all the rules and regulations promulgated under the Electronics Industry Code of Conduct (“EICC”), which covers both slavery and human trafficking, and expects its Suppliers to do the same.

The Code, Terms of Purchase and Business Ethics Policy Forbidding Slavery and Human Trafficking

The Code expressly refers to the Nidec Group Corporate Social Responsibility Charter and more specifically to: ethical behaviour, anti-corruption, conflicts of interest, conditions of employment, discrimination, freedom to associate, humane treatment, child labour, working and living conditions, environment, management systems and supply chain management.

In addition, the Company issues purchase orders to its Suppliers that incorporate the Company’s General Conditions of Purchase (“Terms of Purchase”). The Terms of Purchase expand on the Company’s expectations of Suppliers and Suppliers’ obligations in relation to specific topics. The Terms of Purchase govern the majority of purchases by the Company of goods and services from its Suppliers. Under the Terms of Purchase the Company reserves the right to terminate its relationship with a Supplier if non-compliance with the Company’s Code and Terms of Purchase is discovered and/or such non-compliance is not addressed in a timely manner.

The Company has adopted the Nidec Group Compliance Code of Conduct and an Employee Handbook on Business Ethics Policy, collectively, the “Compliance and Ethics Policies” which sets out the Company’s ethical standards and which detail and promote the Company’s expectations of its employees to comply with such standards. The Compliance and Ethics Policies apply to the Company’s employees and operations, but the Company encourages businesses throughout its supply chain and sales network to adopt and enforce similar policies in their own operations.

No instances of modern slavery, human trafficking or forced labour were identified within our operations during the reporting period. However, we recognise that the absence of reported incidents does not eliminate risk, and we remain committed to ongoing vigilance and continuous improvement.

Modern Slavery and Human Trafficking

“Slavery” can take many forms, including but not limited to, human trafficking and child labour. The Company complies with all applicable laws and employment regulations and does not engage in child labour, forced labour or human trafficking.

The Company conducts regular internal training on its Compliance and Ethics Policies with its employees in the form of an annual ethics training programme and additional ad hoc compliance training for certain customer- and supplier-facing employees. The Company expects its Suppliers to comply with all applicable laws and employment regulations and not to engage in child labour, forced labour or human trafficking.

The Company’s Code clearly states that the Company does not tolerate slavery in the Company’s supply chain and operations.

During FY2025, the Company continued to work with its direct Suppliers to implement a due diligence programme which included a request to complete the SRA Slavery & Trafficking Risk Template (STRT) which was issued together with the Company’s anti-slavery and human trafficking policy (“Policy”). A significant number of the Company’s direct Suppliers have committed to compliance with the principles of the Company’s Code and Policy.

We recognise the importance of this issue and the need to keep improving. In the next reporting period, we commit to proactively engage with Suppliers, including following up more closely on due diligence requests and making clear that timely responses and compliance with our Code and Policy are expected. This will support our efforts to report our progress in a clear and transparent way.

Training and awareness

The Company is committed to helping employees understand modern slavery risks and their responsibilities. Training helps employees recognise possible signs of modern slavery and understand how to report concerns.

During FY2025, ethics and compliance training was given to white-collar employees of the Company, including people involved in procurement, supplier engagement and management. Training covered:

  • business ethics and compliance expectations;
  • human rights principles;
  • prevention of modern slavery and trafficking risks; and
  • how to report concerns and use speaking-up channels.

Future actions and commitments

As part of its wider ESG Programme, the Company plans to strengthen its approach in the next reporting period by:

  • improving supply chain risk assessment processes;
  • improving visibility of higher-risk Suppliers and sourcing categories;
  • expanding Supplier engagement and awareness activities;
  • continuing to align its activities with UK Government guidance and international human rights expectations; and
  • publicly reporting on its sustainability efforts, including those relating to human rights and supply chain management.

The ESG Committee, which includes members of the executive leadership team, is responsible for making sure the commitments in this statement are put into practice. The ESG Committee also reviews our progress on modern slavery each year.
